Acceptance of Terms By accessing and using Arc Pilot OS ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. Arc Pilot OS provides an AI-powered collaboration platform with 53+ specialized AI agents across 8 intelligent workspaces: Code Studio (37 coding agents), Data Lab (6 data agents), File Editor, Slide Studio, Web Intelligence, Deal Room (5 sales agents), Team Chat, and Scientific Workspace (2 scientific agents). If you do not agree to these terms, you must not access or use the Service. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any modifications. ## 2. Service Description Arc Pilot OS is a Software-as-a-Service (SaaS) platform that provides: • AI-powered workspaces for development, data analysis, document creation, presentations, web research, sales intelligence, and scientific computing • Access to 53+ specialized AI agents powered by third-party AI models (including Anthropic Claude) • Container-based code execution with Docker sandboxing and resource limits • Cloud storage for files, documents, and projects (Backblaze B2) • Team collaboration features and multi-agent orchestration with hierarchical coordination • Organization management with multi-tenant isolation, RBAC, and analytics • Voice assistance with STT (Whisper) and TTS (ElevenLabs, browser) The Service operates on a coin-based pricing model where users purchase coins to access AI features. The Service is provided "as is" and may be updated, modified, or discontinued at our discretion. ## 3. User Accounts & Eligibility To use the Service, you must: • Be at least 13 years of age (or the minimum age in your jurisdiction) • Provide accurate and complete registration information • Maintain the security of your account credentials • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized access We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a security risk. ## 4. Coin System & Payments The Service uses a coin-based payment system: • Coins are purchased through our payment processor (Paddle) • Coin prices and pack sizes are displayed at time of purchase • Coins do not expire and remain in your account until used • All purchases are final; refunds are provided at our discretion • We reserve the right to modify pricing with reasonable notice • Student bonus coins are provided to verified educational users Payment processing is handled by third-party providers. We do not store complete payment card information on our servers. ## 5. Acceptable Use Policy You agree NOT to use the Service to: • Generate, store, or distribute illegal content • Create malware, viruses, or harmful code • Harass, abuse, or harm other users or individuals • Infringe on intellectual property rights of others • Attempt to bypass security measures or access restrictions • Scrape, data mine, or overload our systems • Impersonate others or misrepresent your identity • Generate content that violates AI provider policies • Use AI outputs for deceptive purposes (deepfakes, misinformation) • Engage in any activity that violates applicable laws Violations may result in immediate account termination without refund. ## 6. Intellectual Property Rights Ownership and rights are defined as follows: YOUR CONTENT: You retain ownership of content you create, upload, or generate using the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service. AI-GENERATED CONTENT: Content generated by AI agents is provided for your use. You are responsible for reviewing AI outputs before use. We do not claim ownership of AI-generated content created at your direction. OUR PLATFORM: Arc Pilot OS, including its design, code, AI agents, documentation, and branding, remains our intellectual property. You may not copy, modify, distribute, or create derivative works without permission. THIRD-PARTY CONTENT: Some features use third-party services and content. You must comply with their respective terms and licenses. ## 7. AI Services & Limitations The Service utilizes AI models provided by third parties (including Anthropic): • AI outputs may contain errors, biases, or inaccuracies • AI-generated content should be reviewed before use in production • We do not guarantee the accuracy, completeness, or suitability of AI outputs • AI models may be updated or changed without notice • Certain requests may be refused by AI systems based on content policies • You are responsible for ensuring AI outputs comply with applicable laws The AI services are tools to assist you; final decisions and responsibility rest with the user. ## 8. Data & Privacy Your privacy is important to us. Please review our Privacy Policy for details on: • What data we collect and why • How we use and protect your data • Your rights regarding your data • Data retention and deletion policies • Third-party data sharing By using the Service, you consent to data practices described in our Privacy Policy. ## 9. Service Availability We strive to provide reliable service but do not guarantee: • Uninterrupted or error-free operation • Specific uptime percentages • Compatibility with all devices or browsers • Preservation of all data in case of system failure We may perform maintenance, updates, or modifications that temporarily affect availability. We will attempt to provide notice for planned maintenance when possible. ## 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM • WE ARE NOT LIABLE FOR ACTIONS OF THIRD-PARTY SERVICES OR AI PROVIDERS Some jurisdictions do not allow limitation of liability, so some limitations may not apply to you. ## 11. Indemnification You agree to indemnify and hold harmless Arc Pilot, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Content you create, upload, or generate • Your breach of applicable laws ## 12. Termination Either party may terminate this agreement: • You may close your account at any time through Settings • We may suspend or terminate accounts for Terms violations • We may discontinue the Service with reasonable notice • Upon termination, your right to use the Service ends immediately You may request export of your data before account deletion. Unused coins are non-refundable upon voluntary termination. ## 13. Governing Law & Disputes These Terms are governed by applicable law. Any disputes shall be resolved through: • Good faith negotiation between parties • Mediation if negotiation fails • Binding arbitration or court proceedings as appropriate You agree to attempt informal resolution before initiating formal proceedings. EU CONSUMERS: Nothing in these Terms restricts mandatory consumer rights you have under the laws of your country of residence. EU/EEA consumers may also access the European Commission Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. UK CONSUMERS: Nothing in these Terms restricts mandatory consumer rights you have under UK law, including the Consumer Rights Act 2015. ## 14. Changes to Terms We may update these Terms periodically: • Material changes will be communicated via email or in-app notice • Continued use after changes constitutes acceptance • If you disagree with changes, you should stop using the Service • Previous versions are available upon request ## 15.
